Terms of Service

These Terms govern access to SupaClone, a service for cloning user-managed Supabase project structure, selected data, Storage assets, and Edge Function configuration into a fresh target project.

SupaClone is operated by Denvo LLC, 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States ("Denvo", "we", "us"). By creating an account or using SupaClone you agree to these Terms, the Privacy Policy, and, where we process personal data on your behalf, the Data Processing Addendum, which forms part of these Terms.

1. Accounts and authorization

You must sign in with an authorized account and may only connect Supabase projects that you are permitted to access. You are responsible for keeping your SupaClone account, Supabase account, and project credentials secure.

Organization owners are responsible for activity in their organization, including connected projects, clone jobs, billing, and account deletion requests.

2. Acceptable use

SupaClone is intended for backup, migration, testing, staging, and recovery workflows involving projects you control. You must not use SupaClone to access, copy, exfiltrate, or process data without a lawful basis and appropriate authorization.

Clone targets must be fresh or disposable Supabase projects. SupaClone does not merge into existing applications and may reject targets that already contain user-managed application objects.

3. Clone behavior and exclusions

SupaClone can clone user-managed schemas, tables, policies, functions, triggers, indexes, views, constraints, extensions, enums, selected table data, Storage buckets/files, and Edge Function code where the selected mode supports it.

Supabase-managed auth data and secret values are intentionally excluded. Edge Function secrets and other environment secrets must be recreated manually in the target project.

Clone reports, warnings, and verification output are provided to help you review a run, but you remain responsible for validating the target project before using it in production.

4. Trials, subscriptions, and billing

SupaClone offers a 14-day Pro trial for eligible organizations. A payment method is required for recurring Pro trials, and one successful clone is included during the trial period.

After the trial or a paid subscription ends, clone access may be blocked until an active subscription or lifetime purchase is in place. Connected projects and account data may remain visible so you can manage billing, exports, or deletion.

Prices, billing intervals, lifetime access, taxes, discounts, and renewals are handled through Stripe checkout and the Stripe customer portal.

Except where required by applicable consumer law, payments are non-refundable and subscription periods already started are not refunded on cancellation.

5. Availability and changes

SupaClone may change features, limits, pricing, and supported clone modes over time. We may suspend or limit access to protect the service, enforce these Terms, prevent abuse, or comply with legal requirements.

Beta or coming-soon features may be incomplete, change without notice, or require additional manual steps.

6. Account deletion

Organization owners may request account deletion from settings. Deletion cancels in-flight clone jobs, deletes the related Stripe customer where present, deletes the organization and its associated SupaClone records, and deletes the authenticated user.

Stripe may retain invoices, charges, and related payment records as required for accounting, tax, fraud prevention, and legal compliance.

7. Intellectual property and license

Denvo and its licensors own SupaClone, including its software, design, and documentation. We grant you a limited, non-exclusive, non-transferable right to use SupaClone during your subscription for your internal business purposes. You may not resell, copy, or reverse engineer the service except where permitted by law.

You retain all rights to your connected projects, your data, and clone output written into your target projects. You grant us only the rights needed to operate the service, such as processing project metadata and running the clone jobs you request.

8. Disclaimers and liability

SupaClone is provided as a tool to automate cloning workflows. You are responsible for backups, permissions, target project selection, review of clone reports, and production readiness.

To the maximum extent permitted by law, SupaClone is provided "as is" without warranties of uninterrupted operation, error-free cloning, or fitness for a particular production use.

To the maximum extent permitted by law, Denvo is not liable for indirect, incidental, special, or consequential damages, or loss of data, profits, or revenue, and our total liability under these Terms is limited to the amounts you paid to us in the twelve months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including mandatory consumer rights in your country of residence.

9. Indemnification

If you use SupaClone in a business capacity, you will indemnify Denvo against third-party claims arising from your content, your connected projects, or your breach of these Terms, including claims that you lacked authorization to access or clone a project, except to the extent caused by our own breach of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, excluding its conflict-of-law rules. Exclusive venue for all disputes arising out of or relating to these Terms is the state and federal courts located in Bernalillo County, New Mexico, and both parties consent to personal jurisdiction there.

If you are a consumer in the EU/EEA or the UK, you keep the protection of the mandatory consumer laws of your country of residence, and this choice of law and venue does not deprive you of it.

11. Changes to these Terms

We may update these Terms as the service or legal requirements change. We will post the updated version on this page with a new "Last updated" date and, for material changes, notify you in the application or by email where appropriate. Continued use after the effective date constitutes acceptance.
